The Company was unable to file its Form 10-KSB by September 28, 2005 without unreasonable effort or expense because within the last fiscal year ended June 30, 2005, the Company replaced its entire senior management and board of directors. In addition, the Company retained new corporate counsel within the last 30 days. The Company currently anticipates that the Form 10-KSB will be filed by no later than the second calendar day following the date on which the Form 10-KSB was due.
